General terms

Charges quoted are exclusive of VAT which will be charged at the prevailing rate.

All costs are supplied using best information at time of quoting and are subject to change at the point of order.

Details within the intended deliverables section of the quote is for indicative purposes only and cannot be deemed as a scope for this engagement.

This quote is valid for 30 days. Services quotes are valid for 14 days, equipment or software quotes are valid until the last day of the month the quote is created, but also subject to change by vendor policies and rates. Errors and Omissions Excepted.

Where the Customer has established and maintains a satisfactory credit arrangement with HybrIT, under the terms of credit payment the Customer shall pay all invoices not later than 30 days after date of invoice. Where credit has not been secured or maintained, payment is due to HybrIT by pro-forma invoice before any goods or services are delivered.

HybrIT reserve the right to impose a surcharge equating to 3% over Barclays Bank plc base rate for lending on accounts which exceed these payment terms.

Service Level Agreements are only applicable to managed services and are defined in the Schedules associated with those services. No other SLA's are either implied or offered for other purchases.

The terms of any agreement are governed under English Law.

Force majeure - HybrIT shall not be held liable for breach of the Conditions arising as a result of war, riot, explosion, fire, flood, Embargo, strike or shortage of materials or labour.
Hardware Sales

Unless otherwise stated, hardware will be shipped directly to the defined address.

Costs of shipping of goods are estimated at the point of quote and are subject to change. Changes in cost will be flowed down to customer.

Shipping to non UK locations is subject to agreement and terms of international shipment and tax / duty laws

If a delivery date is specified or otherwise provided, the same shall be taken as an estimate made in good faith and shall not be a term of the contract and in no circumstances shall HybrIT be liable for any loss or damage sustained by the Customer in consequence of failure to deliver by such date.

HybrIT Services liability shall, in respect of the Equipment or any part thereof, cease on delivery to the Customer’s premises and all subsequent risk shall pass to the customer.

Cancellation of order post receipt of PO is subject to vendor agreement and may attract charges as defined by the Vendor / Supplier.

Build to orders (custom and bespoke order) are considered non refundable once order is placed.

Any increases in currency exchange rates between quote - order - delivery will be payable by the customer.

All Equipment loaned to or trialed by the Customer shall remain the property of HybrIT (and legal ownership shall remain vested in it) until the Customer has met all outstanding debts and other contractual obligations in relation to the Equipment.
Software Sales

All licences and software are sold in accordance with vendor EULA.

Unless the customer has signed specific agreements sent by the vendor, by purchasing software through HybrIT, the customer automatically accepts the vendor's EULA agreement and terms of ownership / use rights.

Warranty and returns are subject to vendor rules and guidelines on this topic and are not implied or offered as part of the HybrIT Sale / Service.
